Klyro Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Klyro platform and related services (the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.
1. Definitions
For the purposes of these Terms:
- Customer means the legal entity subscribing to or using the Service.
- Authorized User means any individual authorized by the Customer to access the Service.
- End User means an individual who accesses or uses a Capture Session to submit evidence or related information at the request of a Customer, but who is not an Authorized User of that Customer.
- Capture Session means a session initiated by a Customer through the Service to request, collect or receive evidence or related information from an End User.
- Customer Data means all information, photographs, videos, metadata, documents and other content submitted, uploaded or transmitted by the Customer, its Authorized Users or End Users in connection with the Customer's use of the Service.
- Credits means usage credits purchased or otherwise made available for use within the Service.
- Service means the Klyro platform, website, APIs and all related services provided by ZXNET SOLUTIONS SAS.
2. Service Provider

Throughout these Terms, "Klyro", "ZXNET", "we", "our" and "us" refer to ZXNET SOLUTIONS SAS.
3. Scope
These Terms apply to:
- Customers;
- Authorized Users; and
- End Users, where applicable.
Certain provisions of these Terms apply only to Customers, including those relating to subscriptions, billing, payments and Credits.
End Users are bound only by the provisions of these Terms that apply to their use of a Capture Session. End Users do not acquire the contractual rights or obligations of a Customer unless they separately enter into a customer relationship with Klyro.
The business-user requirements in Section 4 (Eligibility) apply to Customers and Authorized Users.
4. Eligibility
The Service is primarily intended for businesses and professional users.
By using the Service, you represent and warrant that:
- you are acting on behalf of a legal entity or in a professional capacity;
- you have authority to bind your organization;
- all information you provide is accurate and kept up to date.
The Service is not marketed or sold directly to consumers. However, individuals may access certain features of the Service, including Capture Sessions, at the request of a Customer.
5. Description of the Service
Klyro provides a cloud-based platform allowing Customers to request, collect, verify and manage trusted photographic evidence and related metadata from End Users through Capture Sessions.
Features may evolve over time and may vary depending on the applicable subscription or pricing plan.
Nothing in these Terms guarantees that any photograph constitutes legally conclusive evidence or will be accepted by insurers, courts, experts or governmental authorities.
6. Customer Accounts
The Customer is responsible for:
- maintaining the confidentiality of account credentials;
- all activities performed using its account, including activities of its Authorized Users;
- promptly notifying Klyro of any unauthorized access or suspected security incident.
Accounts may not be shared beyond purchased licenses or applicable usage limits.
The Customer is responsible for ensuring that its Authorized Users comply with these Terms.
End Users do not obtain Customer account rights, subscription rights, billing rights or other contractual rights intended for Customers merely by accessing or using a Capture Session.
7. Customer Responsibilities
The Customer agrees to:
- comply with all applicable laws;
- obtain any required notices or consents before collecting personal data through the Service, including personal data submitted by End Users through Capture Sessions;
- use the Service only for lawful purposes;
- cooperate with reasonable security measures;
- refrain from attempting to interfere with or compromise the Service;
- ensure that End Users invited to participate in Capture Sessions are provided with appropriate information and that the Customer has an appropriate legal basis to request and receive their submissions.
The Customer remains solely responsible for all Customer Data submitted or processed through the Service, including information and content submitted by End Users through Capture Sessions initiated by the Customer.
8. Pricing and Payment
This section applies only to Customers.
Access to paid features requires payment of applicable fees.
Unless otherwise agreed:
- prices exclude applicable taxes;
- payments are processed by authorized payment providers;
- fees are non-refundable except where required by law;
- unpaid invoices may result in suspension of the Service.
Klyro may modify pricing applicable to future purchases upon reasonable prior notice.
9. Credits
This section applies only to Customers.
Where the Service operates using Credits:
- Credits are consumed when eligible Service operations are performed;
- unused Credits are non-refundable except where required by law;
- Credits have no monetary value and may not be exchanged for cash.
Additional Credit policies may be published separately.
10. Availability
Klyro will use commercially reasonable efforts to provide the Service.
However, the Service is provided on an "AS AVAILABLE" basis and uninterrupted availability is not guaranteed.
Maintenance, upgrades or unforeseen incidents may temporarily affect availability.
11. Intellectual Property
All intellectual property rights relating to the Service, including software, APIs, documentation, trademarks, interfaces, designs and technology, remain the exclusive property of Klyro or its licensors.
No ownership rights are transferred to the Customer.
12. Customer Data
As between the parties, the Customer retains all right, title and interest in Customer Data.
The Customer grants Klyro only the limited rights necessary to host, store, process, transmit and otherwise use Customer Data for the purpose of providing the Service, maintaining security, preventing fraud and complying with applicable law.
Unless expressly agreed otherwise in writing, Klyro does not use Customer Data, including uploaded photographs or videos, to train public or generative artificial intelligence models.
Klyro acquires no ownership rights over Customer Data.
13. Privacy
Processing of personal data is governed by the Klyro Privacy Policy.
Where Klyro processes personal data on behalf of the Customer, Klyro acts as a processor and the Customer acts as the controller under applicable data protection laws.
Where required, the parties may enter into a separate Data Processing Agreement (DPA).
14. Confidentiality
Each party agrees to protect confidential information received from the other party using reasonable care and to use such information only for purposes related to the Service.
These obligations do not apply to information that:
- is publicly available without breach of these Terms;
- was lawfully known before disclosure;
- is independently developed;
- is lawfully obtained from a third party.
These obligations survive termination of these Terms.
15. Third-Party Services
The Service may rely on third-party providers including cloud hosting, payment processing, storage, email delivery and infrastructure services.
Klyro is not responsible for failures solely attributable to such third-party providers.
16. Acceptable Use
The Customer, its Authorized Users and End Users shall not, where applicable:
- use the Service unlawfully;
- upload malicious software or harmful code;
- attempt unauthorized access;
- interfere with platform security;
- reverse engineer the Service except where expressly permitted by law;
- use the Service to infringe third-party rights;
- misuse or overload the Service.
Klyro may suspend access for violations of this section by a Customer, an Authorized User or an End User, as appropriate.
17. Feedback
If a Customer or an Authorized User voluntarily provides suggestions, recommendations or other feedback regarding the Service, Klyro may use such feedback without restriction or compensation.
18. Suspension
Klyro may immediately suspend access where reasonably necessary to:
- protect the Service;
- investigate abuse;
- comply with legal obligations;
- address non-payment;
- prevent fraud or security incidents.
Such suspension may apply, as appropriate, to:
- an entire Customer account;
- one or more specific Authorized Users; or
- one or more specific Capture Sessions or End User access.
Suspension does not relieve the Customer from its obligation to pay outstanding amounts due.
19. Termination
Either party may terminate the contractual relationship in accordance with the applicable subscription terms.
Upon termination:
- Customers: access to the Service may cease; unused Credits may expire; Customer Data may be deleted after a reasonable retention period unless otherwise required by law or agreed in writing;
- Authorized Users: access to the Service through the relevant Customer account may cease;
- End Users: access to the relevant Capture Session or related Service functionality will cease automatically when that Capture Session ends, when the relevant Customer's access is suspended or terminated, or when otherwise required for security, legal or operational reasons.
20. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE".
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KLYRO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- KLYRO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES;
- KLYRO SHALL NOT BE LIABLE FOR LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS INTERRUPTION OR DATA CORRUPTION;
- THE AGGREGATE LIABILITY OF KLYRO ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE CUSTOMER UNDER THESE TERMS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes liability that cannot legally be excluded.
22. Force Majeure
Klyro shall not be liable for delays or failures resulting from events beyond its reasonable control, including natural disasters, internet outages, governmental actions, cyberattacks, labor disputes or failures of third-party infrastructure.
23. Changes to the Service and these Terms
Klyro may modify, improve or discontinue features of the Service at any time.
Material changes to these Terms will be communicated through appropriate means.
The "As of" date at the top of these Terms indicates the latest revision.
Continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms.
24. Governing Law
These Terms are governed by the laws of France.
Any dispute arising out of or relating to these Terms shall fall within the exclusive jurisdiction of the competent courts having jurisdiction over the registered office of ZXNET SOLUTIONS SAS, unless mandatory law provides otherwise.
25. Language
These Terms are drafted in the English language. Any translation is provided solely for convenience.
In the event that these Terms are translated into any language other than English, the English-language version shall constitute the original, controlling and legally binding version.
In the event of any conflict, inconsistency, ambiguity, omission or discrepancy between the English-language version and any translated version, the English-language version shall govern, control and prevail.
26. Survival
The provisions relating to Intellectual Property, Customer Data, Confidentiality, Limitation of Liability, Governing Law and any provisions which by their nature are intended to survive termination shall survive the termination of these Terms.
